Introduction

These Terms and Conditions (“Terms”) govern membership applications, membership, and participation in gatherings and experiences organised by ZENO07, an international private members club founded by Mohamed Habechi.

By applying for membership, becoming a member, booking a gathering, or attending any ZENO07 experience, you agree to these Terms in full.

Membership

2.1 — Application

Membership is strictly by application and review. Submitting an application dossier does not guarantee acceptance. ZENO07 evaluates applications individually to maintain hand-curated chemistry across industries, and reserves the right to decline any application without obligation to state a reason.

2.2 — Approval

Approved applicants receive written confirmation by email from admission@zeno07.com. We aim to respond within five working days of dossier submission.

2.3 — Membership tiers

The €2,500/year founding rate is guaranteed while membership remains continuously active. Once the founding round closes, the founding rate will no longer be available to new members. If a membership lapses or is cancelled and the member later re-applies, the then-current standard membership fee applies. Fee adjustments for standard memberships will be communicated with at least 30 days’ notice prior to annual renewal.

2.4 — Duration and renewal

Membership is contracted on an annual basis (12 months from payment date). Your membership renews annually unless you choose to cancel prior to renewal, subject to these Membership Terms.

2.5 — Non-transferable

Membership is strictly personal and non-transferable. It may not be assigned, shared, or resold to any third party.

Membership fees vs gathering fees

3.1 — What membership includes

Subject to approval and payment, membership grants access to:

• The private ZENO07 global gathering calendar across villas, coastal estates, and private venues
• The private member portal and opt-in member directory
• The ability to request guest attendance at select gatherings (subject to approval)
• Priority reservations for limited-capacity private dining tables (6–10 guests)

3.2 — What membership does not include

Membership fees do not include, and never automatically cover:

• Tickets or attendance fees for private dinners, gatherings, retreats, or travel experiences
• Personal travel, flights, accommodation, transfers, or incidental expenses
• Food, wines, or venue charges beyond what is expressly specified for a specific event booking
• Guest registration fees or optional add-on activities

3.3 — Separate booking and payment

Each gathering or experience must be booked separately via the member portal. Applicable ticket prices (typically starting from approximately €350 per person for private dining), inclusions, and event-specific rules are stated at the time of booking. Payment of membership does not confer any right to free attendance.

Payment

4.1 — Membership payment

Membership fees are payable annually upon application approval. Portal access and calendar reservations are activated upon receipt of full payment.

4.2 — Gathering payment

Gathering and experience fees are charged separately per booking and are due according to the specific payment instructions at checkout.

4.3 — Currency and methods

Prices are denominated in Euros (€). Accepted methods include major payment cards, SEPA/wire transfers, and secure checkout methods. Bank processing fees, currency conversions, and applicable VAT/taxes are the responsibility of the payer unless stated otherwise.

Cancellation and money-back guarantee

5.1 — Membership 30-Day Money-Back Guarantee

ZENO07 provides a full 30-day money-back guarantee on new membership fees. You may cancel your membership within 30 calendar days of your initial payment date and request a full refund of the membership fee paid by emailing admission@zeno07.com.

This 30-day money-back guarantee is in addition to, and does not limit, any mandatory statutory consumer rights, including any applicable statutory right of withdrawal.

After the 30-day money-back guarantee period, membership fees are non-refundable for that annual membership period, except where a refund or other remedy is required by applicable law.

5.2 — Gathering cancellations by the member

Because tables are strictly limited to 6–10 guests and venues require advance commitments, cancellations for booked gatherings are governed by the following standard refund policy:

Committed third-party expenses (such as non-refundable villa deposits or private chef fees) incurred specifically for your booking may be deducted from any refund amount.

5.3 — Cancellation or change by ZENO07

If ZENO07 cancels a scheduled gathering, registered paying members will receive at their choice:

• A 100% full refund of the gathering fee paid for that specific event, OR
• A 100% credit toward any future ZENO07 gathering worldwide.

Membership fees are not subject to refund due to the cancellation or rescheduling of an individual gathering.

5.4 — Itinerary and venue adjustments

ZENO07 reserves the right to make minor adjustments to gathering venues, menus, or timings when necessary. Where a material change occurs, affected members will be notified immediately and provided available options.

Member conduct and discretion

ZENO07 is built on mutual respect, high discretion, and cross-industry chemistry. Members and guests must maintain professional conduct at all times. That is the standard members hold each other to: No selling, no soliciting, no recording.

Strictly prohibited actions include:

• Direct sales pitching, commercial solicitation, or aggressive self-promotion at gatherings
• Audio recording, video recording, or photography of gatherings, conversations, or other members without prior explicit written consent from ZENO07 and all participants involved
• Publishing private member details, names, photos, or gathering locations on public forums or social media
• Harassment, offensive behavior, or breach of member privacy

Members are expected to respect the privacy of conversations and other members, and are fully accountable for the conduct of any registered guests. ZENO07 reserves the right to suspend or terminate membership without refund in cases of serious breach of conduct.

Guests

Members may submit guest requests for consideration at select open gatherings. Guest approval is at the sole discretion of ZENO07. Guests must be registered prior to the gathering, and guest ticket fees are charged separately.

Worldwide locations and venues

ZENO07 gatherings take place in private villas, coastal estates, country houses, golf clubs, and leased private venues across global destinations. Members participate voluntarily. House rules of partner venues and private estates must be respected by all attendees.

Liability and force majeure

9.1 — Individual responsibility

Members attend gatherings and travel to international destinations at their own discretion. Members are solely responsible for their personal belongings, travel insurance, valid passport/visa documentation, and health requirements.

9.2 — Force majeure

ZENO07 is not liable for failure or delay in performing its obligations where such failure arises from acts of God, severe weather, natural disasters, war, civil disturbance, border restrictions, epidemics, government mandates, or transportation shutdowns. In force majeure situations, ZENO07 will make reasonable efforts to offer event rescheduling or credits.

9.3 — Limitation of liability

Where legal liability is established, ZENO07's maximum aggregate liability for any claim related to a gathering is strictly capped at the total fee paid by the member for that specific gathering.

Confidentiality and data protection

Member data and applications are managed with strict confidentiality in compliance with European privacy standards (GDPR). Member information submitted via application forms is stored securely within EU infrastructure and is never sold or utilized to train public AI models.

Intellectual property

All brand assets, software portal designs, logos, and materials related to ZENO07 remain the exclusive property of ZENO07. Unauthorized commercial use or replication is prohibited.

Governing law

These Terms and Conditions are governed by and construed in accordance with applicable laws, with jurisdiction residing in the competent courts, without prejudice to mandatory international consumer protections.
